The Firm offers legal assistance (also integrated with the Tax Department for the related matters), in search fund operations, with particular reference to:
– Drafting, review and negotiation of investment agreements (Investment and Subscription Agreement and Investment and Quotaholder Agreement), with particular attention to pre and post Acquisition governance;
– Corporate assistance in the establishment of the search vehicle, the second capital increase and in the establishment of the bid-co;
– Acquisition process, with a focus on the drafting and negotiation of preliminary agreements, due diligence (with analysis of the nature of exemption or non-exemption), management of signing and closing;
– Exit and transfer agreement, through the negotiation of the main clauses in the disinvestment phase.
We collaborate for research and training activities, contributing to teaching on search fund matters through specialized courses and workshops.
